Terms of Use.

Effective: 24 May 2026. These Terms may be updated by VB Group at any time at its sole discretion.

1. Acceptance

By accessing thezentry.com (the "Site"), downloading any resource, submitting any form, or otherwise engaging with VB Group (the "Company", "we", "us", "our") through any channel, you agree to be bound by these Terms of Use ("Terms") together with our Privacy Notice, DPDPA Notice and Cookie Policy, each of which is incorporated herein by reference. If you do not agree, you must immediately cease using the Site.

2. Eligibility and authority

You represent and warrant that you are at least 18 years of age, that you have full legal capacity and authority to accept these Terms, that any information you submit is accurate and complete, and that you will use the Site solely for lawful business purposes. If you accept these Terms on behalf of an organisation, you represent that you have full authority to bind that organisation, and "you" includes that organisation.

3. Intellectual property; reservation of rights

All content on the Site, including without limitation text, graphics, illustrations, photographs, code, logos, trademarks, trade names, designs, downloadable resources, audio, video, layouts and the underlying platform architecture, is owned by, licensed to, or controlled by VB Group and is protected by Indian and international intellectual property laws. Zentry®, Zentry Pass, Zentry Gate, Zentry Drive, Zentry Induct, Zentry Learn, Zentry Worksheet, Zentry Sitewide, Zentry Sitewide+, Zentry Enterprise, Zentry Studio, Zentry Implementation, Zentry Care and all related marks are trademarks of VB Group. All rights not expressly granted to you are reserved by VB Group. No licence, express or implied, is granted by these Terms except as specifically stated. Any use of our intellectual property without prior written consent is strictly prohibited.

4. Limited licence to access the Site

Subject to your continuing compliance with these Terms, VB Group grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access the Site and to view content for your internal business evaluation of our products and services. This licence does not permit you to: (a) copy, modify, distribute, sell, lease, sublicense, reverse engineer or create derivative works; (b) use the Site or any content for any commercial purpose other than your internal evaluation; (c) use any automated means (including scraping, bots, crawlers) to access, copy or extract content; (d) frame, mirror or aggregate the Site; (e) remove or alter any proprietary notices; (f) circumvent any security or access control; (g) introduce viruses or malicious code; or (h) use the Site in any way that infringes our rights or any third party's rights. VB Group may revoke this licence at any time at its sole discretion without notice.

5. User submissions and feedback

Any submission, feedback, suggestion, idea, comment, image or other material you transmit to VB Group through any channel ("Submissions") is non-confidential and non-proprietary. You hereby irrevocably assign to VB Group all right, title and interest in and to your Submissions, and grant VB Group a perpetual, worldwide, royalty-free, transferable, sublicensable right to use, reproduce, modify, distribute and incorporate your Submissions for any purpose without compensation, attribution or notice to you. You waive any moral rights you may have in your Submissions to the maximum extent permitted by law.

6. Resources and downloads

Form-gated resources (checklists, guides, kits, calculators) are provided strictly for your internal evaluation use within your own organisation. You may not redistribute, republish, resell, modify, repackage, train models on, or extract derivative works from these resources without the prior written consent of VB Group. Any use beyond internal evaluation is a material breach of these Terms.

7. Customer references and case studies

Case studies, customer outcomes and quotations published on this Site are anonymised composites drawn from real Zentry deployments unless explicitly named with documented written customer consent. Industry, geography and metrics are representative. No reliance should be placed on case study outcomes as a guarantee, projection or commitment of any specific result at any other plant or organisation.

8. Forward-looking statements and roadmap

The Site may contain forward-looking statements regarding our product roadmap (including without limitation Zentry Permit and Zentry Crew), geographic expansion, deployment timelines, customer outcomes, and pricing positions. Such statements reflect current expectations only, are subject to change without notice, and do not constitute commitments. VB Group expressly disclaims any obligation to update forward-looking statements. You should not rely on forward-looking statements for any purchasing, investment or planning decision.

9. Third-party references

References to third-party hardware (including ZKTeco, Suprema, Matrix, ESSL, Honeywell, Hikvision, Milesight), software (including SAP, Oracle, NetSuite, Tally, Darwinbox, Keka, ADP, ZingHR, Bitrix24, Salesforce, Zoho, Azure AD, Okta, Active Directory) and service providers (including Interakt) are for informational and interoperability purposes only. We do not endorse, sponsor or assume responsibility for third-party offerings. All trademarks remain the property of their respective owners.

10. Disclaimer of all warranties

THE SITE AND ALL CONTENT, RESOURCES, CASE STUDIES, BENCHMARKS, AUDIT GUIDANCE, COMPLIANCE INFORMATION AND OTHER MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, COMPATIBILITY, UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT THE SITE WILL MEET YOUR REQUIREMENTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VB GROUP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OPPORTUNITY OR REPUTATION, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT VB GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF VB GROUP UNDER OR RELATING TO THESE TERMS SHALL NOT EXCEED INR ONE THOUSAND (₹1,000) OR THE AMOUNT YOU HAVE PAID TO VB GROUP IN CONNECTION WITH YOUR USE OF THE SITE IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS LOWER. THE LIMITATIONS IN THIS SECTION APPLY EVEN IF THE STATED REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE. NOTHING IN THIS SECTION LIMITS ANY LIABILITY THAT CANNOT BY LAW BE LIMITED.

12. Indemnification

You agree to defend, indemnify and hold harmless VB Group and its affiliates, officers, directors, employees, agents, licensors and service providers from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your access to or use of the Site; (b) your breach of these Terms; (c) your violation of any law or any third-party right; (d) your Submissions; or (e) any misrepresentation by you. VB Group reserves the right, at its sole discretion and at your expense, to assume exclusive control of any matter for which you are required to indemnify us, and you will cooperate fully.

13. Modifications; suspension; termination

VB Group may at any time, at its sole discretion and without notice or liability: (a) modify, suspend or discontinue the Site or any part of it; (b) modify these Terms (the modified Terms taking effect immediately upon posting); (c) restrict or terminate your access to the Site; or (d) impose limits on certain features or restrict your access to parts or all of the Site. You agree that VB Group is not liable to you or any third party for any such action.

14. Governing law; exclusive jurisdiction

These Terms and any dispute, claim or controversy arising out of or relating to these Terms or your use of the Site are governed exclusively by the laws of India, without regard to conflict-of-law principles. You irrevocably consent to the exclusive jurisdiction of the competent courts at the seat of VB Group's registered office in India, and you waive any objection to such venue on the grounds of inconvenience or otherwise.

15. No agency, partnership or joint venture

Nothing in these Terms creates any agency, partnership, joint venture, employment or franchise relationship between you and VB Group.

16. No third-party beneficiaries

These Terms are for the sole benefit of you and VB Group. No third party has any right to enforce these Terms.

17. Severability and waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. No failure or delay by VB Group in enforcing any right is a waiver of that right.

18. Entire agreement

These Terms, together with the Privacy Notice, DPDPA Notice and Cookie Policy, constitute the entire agreement between you and VB Group regarding the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written. Any separate signed written agreement between you and VB Group regarding specific products or services prevails over these Terms with respect to the subject matter of that signed agreement.
